Terms of Service

1. Acceptance of Terms
By accessing or using the CanadiEx website at canadiex.com, or by entering into a service agreement with CanadiEx, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.
2. Services
CanadiEx provides third-party logistics (3PL) services including warehousing, order fulfillment, Amazon FBA preparation, returns processing, kitting and assembly, and cross-border shipping. Specific service terms are governed by individual client agreements entered into separately.
3. Client Responsibilities
Clients using CanadiEx services are responsible for:
- Providing accurate product information, dimensions, and weights
- Ensuring inventory sent to CanadiEx facilities complies with applicable laws
- Maintaining accurate platform integrations and order data
- Promptly reviewing and disputing any inaccurate invoices within 30 days
- Notifying CanadiEx of hazardous materials or restricted goods
4. Liability Limitations
CanadiEx's liability for lost, damaged, or mis-shipped inventory is limited to the declared value of the goods at the time of receiving, subject to the terms of the applicable service agreement. CanadiEx is not liable for delays caused by carriers, customs authorities, force majeure events, or inaccurate information provided by the client.
5. Payment Terms
Invoices are issued on a monthly basis and are due within 15 days of the invoice date unless otherwise agreed in writing. Late payments may be subject to interest charges at 1.5% per month. CanadiEx reserves the right to suspend services for accounts more than 30 days past due.
6. Intellectual Property
All content on the CanadiEx website, including text, graphics, logos, and images, is the property of CanadiEx and is protected by applicable copyright and trademark laws. You may not reproduce, distribute, or create derivative works without prior written consent.
7. Termination
Either party may terminate a service agreement with 30 days' written notice. CanadiEx reserves the right to terminate services immediately in cases of breach of contract, non-payment, or shipment of prohibited goods. Upon termination, clients must arrange for removal of their inventory within 30 days.
8. Governing Law
These Terms of Service are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Toronto, Ontario.
9. Changes to Terms
CanadiEx reserves the right to modify these Terms of Service at any time. Changes will be effective upon posting to this page. Continued use of our services after changes constitutes acceptance of the revised terms.
